Selectboard Minutes- Special Meeting 2.27.2012
Members Present: Keith Squires, Daniel Harvey, Cynthia Browning, Reggie Jennings, Jr.
The Special Meeting of the Arlington Selectboard was called to order at 4:15pm by Chairman Keith Squires.
Mr. Squires stated that the purpose of this special meeting was for discussion of Park & Rec issues.
Park & Rec Transfer of Property: Board members reviewed draft copies of the documents and agreements that the Park Board & Park’s attorney are proposing regarding the transfer of the Park & Rec to the Town of Arlington. Attorney John M. Whalen drew up a draft that ‘legally’ dissolves the ‘corporation’ and any assets that the Park may control. Ms. Browning stated that it looks like they are “relinquishing things to the Town that are already the Town’s” and stated that if this were the case that she would not support this. There was discussion on this issue. Board members discussed the ‘tail insurance policy’ that Attorney Whalen added into the draft – that would protect against any past due lawsuits, etc. Selectboard members felt that the Park Committee should fund this ‘tail’ policy. In further review – Selectboard members noted that there are ‘conditions’ listed on the funds. There is a paragraph that states that the only place that any monies can be spent is on the “Canfield Meadow”. This would mean that no mowing could take place on the Lions’ property. There was discussion on the wording in this draft. Mr. Squires stated that Town Attorney Joe O’Dea had concerns that the Town not get “bound into” something that would carry into the future. Mr. Harvey reported on the proceedings of the Park Board meeting of last week (Thursday February 23, 2012). He noted that the majority of the Park Board was totally in favor of this transfer to the Town moving forward. Mr. Harvey and Mr. Squires both had some suggested changes to the wording in the draft and those present reviewed copies of these changes. There was questioning of the word ‘gifted’ with reference to funds and inventory ‘gifted’ to the Town of Arlington. Board members were in agreement that – to move this deal forward – the biggest item to consider – would be the Yellow Barn exclusion – and members were in favor of giving Park Board members this exclusion. Members were also in agreement to scratch any reference to the Lions Club – with Mr. Jennings noting that anything not included in the original paperwork should also not appear in current paperwork. The Selectboard was in agreement to consider the following: 1- the Town will maintain a separate account for the Park & Rec fund(s); 2-the funds in that account will not be used to maintain the building commonly known as the ‘Yellow Barn’; and 3-the Town would prefer the Park Board secure the ‘tail’ policy. The Board was also willing to consider being subject to any other restrictions that the Park Committee has been operating under. Mr. Squires will contact Andy Heikaus and Joe O’Dea regarding the changes the Board is proposing in the wording of this ‘transfer’ of Park property/funds/inventory, etc.
Seasonal Employees for Park: Board members reviewed the applications for three positions in the Park:
John Henky, Ed Walsh, Gerald Woodard, and Jim Erickson. The Board was in favor of hiring John Henky and Ed Walsh back at a 3% raise on last year’s pay rate. John Henky was at $11.55/hr – he would get $11.90/hr., and Ed Walsh was at $13.65/hr – he would get $14.07/hr. Mr. Squires reported that he had spoken to Jerry Woodard and proposed $16.00/ hr for the third position – which would be a supervisory position – handling phone calls, scheduling, etc. Mr. Squires stated that Jerry was okay with this hourly rate. Mr. Harvey made a motion to hire John Henky and Ed Walsh and Gerald Woodard as the three seasonal employees at the Park. Seconded by Mr. Jennings. Motion carried. Letters will be sent to all parties with a thank you to Jim Erickson for his service and work in the Park.
Mr. Harvey made a motion to adjourn the meeting. Seconded by Mr. Jennings. Motion carried. The Special Meeting of the Arlington Selectboard was adjourned at 5:30pm.
